Voting Rights and Capital

In conformity with the Transparency Directive’s transitional provision 6, Babcock & Brown Public Partnerships Limited (the "Company") notifies the market of the following:
 

The Company’s issued share capital consists of 300,000,000 ordinary shares with voting rights.
 

Therefore, the total number of voting rights in the Company is 300,000,000.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Babcock & Brown’s Public Partnerships Limited under the FSA’s Disclosure and Transparency Rules.
